These Terms of Use ("Terms") govern your use of the website located at ahiaintel.com ("Site"), operated by AhiaIntel Ltd., a company incorporated in the Federal Capital Territory, Nigeria ("AhiaIntel", "we", "us", or "our").

By visiting the Site or submitting your email address to our waitlist, you agree to these Terms. If you do not agree, please do not use the Site.

This website is a pre-launch information page for Vantage, a business intelligence platform currently under development. The Site's current purpose is to:

• Inform visitors about Vantage and AhiaIntel
• Collect email addresses from people interested in early access

Vantage is not yet available. No product, service, or software is being sold, licensed, or delivered through this Site at this time.

By submitting your email address through our waitlist form, you acknowledge and agree to the following:

• No guarantee of access: joining the waitlist does not guarantee early access, beta access, or any access to Vantage. We will select early access participants at our sole discretion.
• No purchase or commitment: submitting your email address creates no contract, no payment obligation, and no enforceable right to use Vantage.
• Communications: by joining the waitlist, you consent to receive email updates about Vantage from AhiaIntel. You may unsubscribe at any time using the link in any email we send, or by emailing info@ahiaintel.com.
• Accuracy: you represent that the email address you provide is your own and that you have the right to provide it.

All content on this Site, including but not limited to text, graphics, logos, the AhiaIntel name, the Vantage name, and all associated branding, is the property of AhiaIntel Ltd. and is protected by applicable copyright, trademark, and intellectual property laws.

You may not copy, reproduce, distribute, modify, publicly display, or create derivative works from any content on this Site without our express prior written permission.

Nothing in these Terms grants you any license to our intellectual property except the limited right to access and use the Site for its intended informational purpose.

When using this Site, you agree not to:

• Violate any applicable law or regulation
• Submit false, misleading, or fraudulent information
• Attempt to gain unauthorized access to any part of the Site or its infrastructure
• Interfere with or disrupt the Site's operation, servers, or networks
• Use automated tools, scrapers, or bots to access or extract data from the Site without our permission
• Submit email addresses belonging to other people without their consent
• Impersonate AhiaIntel or any of its team members
• Use the Site for any unlawful, harmful, or fraudulent purpose

We reserve the right to block access to the Site for any person who violates these terms or who we reasonably believe is misusing the Site.

This Site is provided on an "as is" and "as available" basis. AhiaIntel makes no representations or warranties of any kind, express or implied, regarding the Site or its contents, including but not limited to:

• That the Site will be available at all times or free from errors
• That the information on the Site is accurate, complete, or current
• That Vantage will launch on any particular timeline or with any particular features
• That the Site is free from viruses or other harmful components

To the maximum extent permitted by applicable law, AhiaIntel disclaims all implied warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the maximum extent permitted by applicable law, AhiaIntel Ltd. and its directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of this Site or reliance on its content. This includes, without limitation, loss of profits, loss of data, loss of business, or loss of goodwill, even if AhiaIntel has been advised of the possibility of such damages.

This Site is currently a pre-launch information page. No fees are charged, no product is delivered, and no services are rendered through it. Our total aggregate liability to you for any and all claims arising from your use of this Site is therefore limited to the amount you have actually paid to AhiaIntel in the twelve months preceding the claim. Where no payment has been made, our aggregate liability shall not exceed the minimum amount enforceable under applicable law.

This limitation reflects the nature of a free, informational pre-launch website. When Vantage launches and paid services are offered, these Terms will be updated with liability provisions appropriate to that commercial relationship.

Nothing in these Terms excludes or limits liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; (c) any liability that cannot be excluded or limited under applicable Nigerian law or the law of your home jurisdiction.

This Site is built on and integrated with third-party services including Vercel (hosting), Supabase (database), and Resend (email delivery). Links to these and other third-party websites are provided for convenience only. AhiaIntel does not endorse, control, or take responsibility for the content, privacy practices, or terms of any third-party site or service. Your use of those sites is governed by their own terms and privacy policies.

We may update, modify, or discontinue the Site or any part of it at any time without notice. We may also update these Terms at any time by posting a revised version on this page with a new effective date. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms.

If we make material changes, we will make reasonable efforts to notify waitlist members by email.

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law principles.

Any dispute arising from or related to these Terms or your use of the Site shall first be subject to good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within 30 days, it shall be submitted to the exclusive jurisdiction of the courts of the Federal Capital Territory, Abuja, Nigeria.

If you are located in a jurisdiction whose laws provide you with additional consumer protections that cannot be waived by contract, those protections remain unaffected by these Terms.

If any provision of these Terms is found to be invalid or unenforceable under applicable law, that provision will be modified to the minimum extent necessary to make it enforceable, or if it cannot be modified, it will be severed from these Terms. The remaining provisions will continue in full force and effect.

These Terms of Use, together with our Privacy Policy, constitute the entire agreement between you and AhiaIntel Ltd. regarding your use of this Site. They supersede any prior agreements or understandings between you and AhiaIntel regarding the same subject matter.
